Description The In House Legal Counsel is responsible for:
reviewing and analyzing the terms and conditions of bids/RFPs and contracts in compliance with corporate policy guidelines and procedures
providing guidance on risk and liability issues to the business teams
participating in negotiations with clients, and supporting the commercial / business development team
selecting and managing external counsel, where appropriate
providing advice and guidance on compliance issues
The position reports to the Director of Legal Services. Key interactions will include members of the executive team as well as personnel in business development, finance, compliance, health safety, human resources, commercial, and operations.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Review and analyze instructions and selected specifications for Requests for Proposals, bids and quotations and provide guidance to proposal/business development team
Review and analyze client terms and conditions, prepare comments and provide explanations to the sales and commercial team in accordance with corporate contracting policy
Assist in the drafting, negotiation, interpretation, and renewal of complex commercial agreements
Interact directly with senior management to provide commercially aware advice to the business on issues ranging from contractual disputes and HR matters to debt collection and environmental compliance
Assist with the drafting and implementation of various corporate policies and procedures
Liaise with outside counsel to manage litigation, including facilitating responses to discovery requests
Work with insurance companies and outside counsel on a variety of general liability matters
EDUCATION, LICENSING, AND EXPERIENCE
Juris Doctorate from and ABA accredited law school
Current license to practice law in the U.S. (PA preferred)
5-7 years of relevant legal experience
Prior experience drafting and negotiating complex agreements
Prior experience with e-Discovery, environmental compliance, and/or municipal contracts is plus, but not required
Strong commercial sense and customer focus

Excellent time management and organizational skills
Strong computer skills including Microsoft Office applications
